Brand Service Agreement

Effective Date: April 29, 2026

This Brand Service Agreement ("Agreement") is between Timey Wimey Solutions LLC ("TWS"), a Kentucky limited liability company, and the brand account holder ("Brand") who registers on buyboozenow.com (the "Platform").

1. Scope of Services

TWS provides marketing and placement brokerage services through the Platform. TWS will:

  • List the Brand's approved products on the Platform
  • Introduce the Brand to licensed in-state distributors and retail/on-premise buyers
  • Provide a brand dashboard for managing listings, viewing placement history, and accessing billing

TWS does not sell, ship, or distribute alcohol. TWS does not guarantee any specific volume of placements, orders, or revenue. All alcohol transactions occur exclusively between the Brand, licensed distributors, and licensed retailers.

2. Brand Obligations

The Brand represents, warrants, and agrees that:

  1. It holds a valid TTB Basic Permit (or COLA) for each product listed
  2. It is actively licensed in each state selected as an available market
  3. All product and pricing information is accurate and current
  4. It will promptly update its listings if product availability, pricing, or licensing changes
  5. It will not use the Platform to facilitate any unlicensed transaction
  6. It accepts full responsibility for the actions of any Team Members granted access to the Brand's account

3. Fees

3.1 Subscription Fee

The Brand shall pay a monthly subscription fee of $149.00 (one hundred forty-nine dollars). The subscription begins upon the Brand's activation and recurs monthly until canceled. Payment is processed via Stripe.

3.2 Placement Commission

TWS earns a commission of 10% of the wholesale order value on each confirmed placement. Commission invoices are issued to the Brand after verified placement confirmation.

3.3 Cancellation

The Brand may cancel its subscription at any time through the Stripe billing portal. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

4. Intellectual Property

The Brand grants TWS a non-exclusive, royalty-free, revocable license to display the Brand's name, logo, label images, sell sheets, and other uploaded assets on the Platform for the sole purpose of facilitating placements. This license terminates upon deactivation of the Brand's listing. TWS retains all rights to the Platform, its design, technology, and proprietary data.

5. Confidentiality

Both parties agree to keep confidential any non-public business information shared through the Platform, including pricing, placement details, and commission rates. This obligation survives termination of this Agreement.

6. Limitation of Liability

TWS'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY THE BRAND TO TWS IN THE THREE (3) MONTHS PRECEDING THE CLAIM. TWS IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR LOST SALES.

7. Indemnification

The Brand agrees to indemnify and hold harmless TWS from any claim, loss, or liability arising from the Brand's products, the Brand's licensing status, or the Brand's violation of this Agreement or applicable law.

8. Term and Termination

This Agreement is effective upon Brand registration and continues until terminated. Either party may terminate with 30 days' written notice. TWS may terminate immediately if the Brand violates any term of this Agreement or misrepresents its licensing status.

9. Governing Law

This Agreement is governed by the laws of the Commonwealth of Kentucky. Any dispute shall be resolved in the state or federal courts located in Nelson County, Kentucky.

10. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between the parties. Amendments must be in writing.
