1. Acceptance of Terms

By accessing or using buyboozenow.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to all users, including brand accounts ("Brands") and buyer accounts ("Buyers").

2. Description of Services

buyboozenow.com is a B2B marketing and placement brokerage platform. TWS connects alcohol brand producers with licensed retail accounts, bars, restaurants, and licensed distributors.

TWS is not a licensed distributor in all states. TWS does not sell, ship, or distribute alcohol. All actual alcohol transactions occur exclusively between the Brand, a licensed in-state distributor, and a licensed retailer or on-premise account. TWS earns service fees from Brands for brokerage and introduction services only.

3. Eligibility

Use of the Platform is restricted to:

  • Business entities (not individual consumers)
  • Individuals 21 years of age or older
  • Brands that hold a valid TTB Basic Permit (or COLA) for each product listed
  • Buyers that are licensed to purchase alcohol in their applicable state(s)

TWS reserves the right to verify eligibility and deny or revoke access at its sole discretion.

4. Brand Accounts

Brands must complete registration and receive TWS approval before any listing goes live. By registering, Brands represent and warrant that:

  1. All TTB permit numbers and COLA designations provided are accurate and current;
  2. The Brand is actively licensed in each state selected as an available market;
  3. All product information (pricing, case pack size, MOQ, label images) is accurate;
  4. The Brand understands that TWS is a placement brokerage service, not a licensed distributor in all states;
  5. The Brand has authority to enter into the Brand Service Agreement.

Brands are responsible for ensuring their listings remain current. TWS may suspend listings that contain inaccurate or outdated information.

Team access. Brand account owners may invite additional users ("Team Members") to access and manage the Brand's account. The Brand owner is solely responsible for Team Members' actions on the Platform and for revoking access when appropriate. TWS is not liable for any unauthorized changes made by Team Members.

5. Buyer Accounts

Buyer accounts in Phase 1 are limited to waitlist registration. Buyers provide contact information and business type for the purpose of being matched with available brands. By registering, Buyers represent that they are licensed to receive or purchase alcohol products in their operating state(s) in compliance with applicable law.

6. Prohibited Conduct

Users may not:

  • Use the Platform to facilitate any unlicensed alcohol transaction
  • Misrepresent their licensing status, permit numbers, or business type
  • Circumvent the age gate or access the Platform on behalf of a minor
  • Scrape, reverse-engineer, or copy Platform content or data
  • Use the Platform for any purpose that violates applicable federal, state, or local law

7. API Access

TWS may provide programmatic access to certain Platform features through an application programming interface ("API"). API keys are scoped to a single Brand, may carry READ and/or WRITE permissions, and are subject to rate limits. By using the API, you agree that:

  1. You are responsible for all activity that occurs under your API key;
  2. Keys must be stored securely and not shared with unauthorized parties;
  3. Automated agents acting via the API are bound by the same terms as human users;
  4. TWS may revoke API access at any time for misuse or violation of these Terms;
  5. TWS logs API requests (method, path, status code, IP address, user agent) for security and audit purposes.

8. Intellectual Property

TWS retains all rights to the Platform, its design, and its underlying technology. Brands grant TWS a non-exclusive, royalty-free license to display brand assets (logos, label images, sell sheets) on the Platform for the purpose of facilitating placements. This license terminates upon deactivation of the Brand's listing.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TWS DOES NOT WARRANT THAT USE OF THE PLATFORM WILL RESULT IN ANY SPECIFIC NUMBER OF PLACEMENTS, ORDERS, OR REVENUE. TWS IS A BROKERAGE INTERMEDIARY — RESULTS DEPEND ON MARKET CONDITIONS, BUYER INTEREST, AND BRAND FACTORS OUTSIDE TWS'S CONTROL.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TWS'S TOTAL LIABILITY TO ANY USER FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE AMOUNTS PAID BY THAT USER TO TWS IN THE THREE (3) MONTHS PRECEDING THE CLAIM. TWS IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless TWS, its members, officers, and employees from any claim, loss, or liability arising from your use of the Platform, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Kentucky without regard to conflict-of-law principles. Any dispute arising from these Terms shall be resolved in the state or federal courts located in Nelson County, Kentucky. You consent to the personal jurisdiction of those courts.

13. Changes to Terms

TWS reserves the right to modify these Terms at any time. Material changes will be communicated via email or Platform notice. Continued use of the Platform after notice constitutes acceptance.
